Participation in the Sweepstakes constitutes full and unconditional agreement to and acceptance of these Official Rules and the decisions of Sponsor, which are final and binding. Winning a prize is contingent on fulfilling all requirements set forth herein. The “Sponsor” of the Contest is DOSH Holdings, Inc., located at 13501 Galleria Circle, #300, Austin, TX 78738.

Eligibility
‍The Dosh New Year, New You Sweepstakes (the “Sweepstakes”) is open to individuals who: (1) are 18 years of age or older; (2) are legal residents of the 50 U.S. States and the District of Columbia and physically present in the United States at the time of Entry; (3) have installed the Dosh application on a mobile device and created a Dosh account, including providing valid credit or debit card information, which is in good standing as of the start of the Sweepstakes; (4) have Internet access; and (5) have an Instagram account. Good standing means that the Dosh account has not been flagged by Sponsor for fraudulent activity or suspended by Dosh at the start of or during the Sweepstakes. Employees, officers, directors, agents or other representatives of the Sponsor and all members of their immediate family (parent, child, spouse or sibling and their respective spouses, regardless of where they reside) and persons living in the same household with them, whether or not related, are not eligible to participate in the Sweepstakes (the “Sponsor-Related Parties”).

Entry Period
‍The Sweepstakes begins at 9 a.m. Central Time (“CT”) on January 28, 2021 and ends at 8:59:59 a.m. CT on January 29, 2021 (the “Entry Period”). Central Time means the local time in Austin, TX on the specified date. The Sponsor’s computer system is the official timekeeping device with respect to all matters relating to the Sweepstakes.

How to Enter; Entry Requirements
‍In order to receive one (1) Entry, eligible individuals must follow the published rules in the Sweepstakes January 28, 2021 post on the Sponsor’s Instagram account, @doshapp.

All Entries must be received by 8:59:59 a.m. CT on January 29, 2021 to be eligible.

Entry Limits
‍Limit one (1) Entry per person.

Grant of Rights in Entry
‍By submitting an Entry into the Sweepstakes, you hereby grant Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display the information contained in the Entry, and to incorporate the information contained in the Entry and/or Prize (in whole or in part) into other works, in any form, media or technology now known or later developed, for any lawful commercial purpose, throughout the world in perpetuity, without additional compensation, notification or permission.

Winner Selection and Notification
‍There will only be one (1) winner. On January 29, 2021 at 12:00 p.m. CST, the Sponsor will select one (1) winner based on a random selection of all eligible Entries (the “Potential Winner”). The Potential Winner will be contacted via Instagram direct message wherein the Sponsor will ask for the individual’s email address associated with their Dosh account. The Potential Winner must respond to Sponsor within three (3) days to remain eligible, and upon validation of the Potential Winner’s Dosh account and other eligibility requirements, the Potential Winner will be declared the winner (the “Sweepstakes Winner”). In the event that the email is returned or undeliverable, Sponsor is unable to contact a Potential Winner, a Potential Winner does not respond to the Sponsor’s direct message on Instagram within three (3) days, or a Potential Winner does not comply with the requirements of the prize notification email during the time frames provided or is otherwise disqualified under these Official Rules, their prize will be forfeited and Sponsor will select another Potential Winner in the same manner as the original Potential Winner.

Prize
‍Winner will be selected at random from the list of all participants who completed the rules on the January 28, 2021 Instagram post as posted on the @doshapp account. Prize will consist of a $500.00 Dosh Wallet credit applied to the selected winner’s Dosh account (the “Prize”). The Prize cannot be redeemed for cash value.

The Prize is non-assignable. By accepting the Prize, the Sweepstakes Winner agrees to release, discharge and hold harmless the Sponsor-Related Parties from any claims, losses, or damages arising out of the Sweepstakes or the acceptance or use, misuse or possession of the Prize.

Odds of Winning
‍Odds of winning depend upon the number of eligible Entries received during the Entry Period.

Disqualification
‍Sponsor reserves the right, in its sole discretion, to disqualify any person it believes has violated these Official Rules, is not eligible to participate, who has provided false information, acted in a harassing or unsportsmanlike manner with respect to Sponsor, any Sponsor-Related Party, or any Entrant, or tampered with the operation of the Sweepstakes, including by hacking, attempting to participate via multiple accounts, or using any bot or other automatic means to affect participation in or operation of the Sweepstakes. Sponsor’s decisions as to all other issues, including eligibility, shall be final. CAUTION: Any attempt to deliberately damage any app or undermine the legitimate operations of the Sweepstakes may be a violation of criminal and civil laws. Should such an attempt be made, the Sponsor reserves the right to seek damages to the fullest extent permitted by the law and to disqualify the Entrant from the Sweepstakes.

General Conditions; Limitation of Liability
‍The Sweepstakes is void where prohibited by law, and is subject to all applicable federal, state and local laws and regulations, and Sponsor’s Terms of Service and Privacy Policy.  Sponsor is not responsible for, and by participating in the Sweepstakes you release the Sponsor and Sponsor-Related Parties from, any liability arising out of your participation in the Sweepstakes, including without limitation, for any problems related to technical malfunctions of electronic equipment, computer online systems, servers, or providers, computer hardware or software failures, phone lines, traffic, congestion on the internet or any website or app, unauthorized intervention, or for any other technical problems including telecommunication miscommunication or failure, unavailability of any website or platform, and failed, lost, delayed, incomplete, garbled, or misdirected communications which may limit a person’s ability to participate in the Sweepstakes.  Sponsor is not responsible for any other errors or malfunctions of any kind, whether network, printing, typographical, human or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or malfunctions which may occur in connection with the administration of the Sweepstakes, the announcement of any Sweepstakes Winner, or in any Sweepstakes materials.  Sponsor reserves the right to modify, suspend, terminate, or cancel the Sweepstakes in its entirety should tampering, unauthorized intervention, fraud, technical failures or other causes corrupt the administration, security, fairness, integrity or proper play of the Sweepstakes and, if terminated, at Sponsor’s sole discretion, determine the Sweepstakes Winner using all non-suspect, eligible Entries received up to time of cancellation using the procedures outlined above.  In the event of a dispute regarding the identity of the individual entering the Sweepstakes during the Entry Period, the authorized owner of the email account associated with the Instagram account used to participate in the Sweepstakes will be deemed to be the Entrant and must comply with these Official Rules. Authorized owner means the natural person who is assigned the email address by the relevant Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the email address used to participate in the Sweepstakes.  California Civil Code Section 1542 provides that: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE WHICH IF KNOWN BY HIM OR HER, MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.  By participating, each Entrant, on behalf of him or herself and his or her heirs, successors, assigns, agents and representatives, acknowledges that he or she understands the significance and consequences of California Civil Code Section 1542 and, to the extent it may be applicable, hereby waives its benefits, with the intent that the releases and waivers of liability in these Official Rules include claims known or unknown, and suspected or unsuspected.

Disputes
‍Except where prohibited by law, any action arising out of or relating to this Sweepstakes or these Official Rules shall be resolved individually and exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) and conducted before a single arbitrator, all pursuant to the AAA Commercial Arbitration Rules as supplemented by AAA’s Supplementary Procedures for Consumer-Related Disputes (collectively, the “AAA Rules”). The arbitration shall be held at a location in the state in which you live.  There shall be no authority for any claims to be arbitrated (or otherwise disputed) on a class or representative basis; arbitration can only decide Sponsor’s and your individual claims and the arbitration may not consolidate or join the claims of other persons or parties who may be similarly situated. ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANYTHING AWARDED IN CONNECTION WITH THE SWEEPSTAKES, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION. ANY RIGHT TO A TRIAL BY JURY IS HEREBY WAIVED. Notwithstanding anything to the contrary in these Official Rules, if the amount in dispute arising out of or relating to this Sweepstakes or these Official Rules is less than the jurisdictional maximum of a small claims court applicable in the state in which the Entrant lives, the Entrant may bring an action in such small claims court for such dispute, which will be in lieu of arbitration or an action in any other court.

Choice of Law
‍All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrant and Sponsor in connection with the Sweepstakes, shall be governed by and construed in accordance with the substantive laws of the State of Texas.
